PARTNER PROGRAM TERMS

(Effective Date: 25.11.2025)

These Partner Program Terms (“Partner Terms”) govern the participation of individuals or entities (“Partner”) in the Mintly referral and partner reward program (“Partner Program”). These Partner Terms complement the Mintly Terms of Use and form an additional legally binding agreement.

If any conflict arises between these Partner Terms and the Terms of Use, the Terms of Use prevail.

1. Definitions

1.1. “Mintly” or “Service”

A non-custodial Software-as-a-Service (SaaS) tool that assists Users in deploying token smart contracts. Mintly does not manage funds, issue tokens, or act as an exchange, marketplace, advisor, or intermediary.

1.2. “User”

Any person using the Mintly Service, including those who access the Service through a Partner’s referral link.

1.3. “Partner”

An individual or entity participating in the Partner Program by generating a referral link and sharing it with potential Users.

1.4. “Partner Program”

A referral-based bonus system that provides Partners with proportional rewards (in accordance with Mintly’s current reward model) when Users deploy smart contracts through their partner links.

2. Overview of the Partner Program

The Partner Program allows Partners to:

• generate a unique referral link via the Mintly bot,

• share this link with others,

• receive rewards based on successful deployments performed by referred Users.

Participation in the Partner Program does not imply any partnership, employment, agency, joint venture, or contractual relationship beyond what is explicitly stated in these Partner Terms.

All rewards are calculated and distributed solely at Mintly’s discretion and in accordance with the current reward model, which may be changed or discontinued at any time.

3. Partner Responsibilities

By participating in the Partner Program, the Partner agrees to the following responsibilities:

3.1. Lawful Promotion

Partners may only promote Mintly using lawful, ethical, and transparent methods.

3.2. Prohibited Practices

Partners must not engage in:

• spam or unsolicited mass messaging,

• misleading statements about Mintly or its capabilities,

• fraudulent promises, fake promotions, or deceptive marketing,

• impersonation of Mintly staff or official channels,

• any behavior that may harm Mintly’s reputation or mislead Users,

• encouraging Users to violate Terms of Use or applicable laws.

Mintly reserves the right to determine, at its sole discretion, what constitutes misuse or inappropriate promotion.

3.3. Accuracy of Information

Partners must accurately represent Mintly as a technical tool and must not portray it as:

• an investment service,

• a guaranteed financial opportunity,

• an issuer of tokens or financial products,

• a custodian or manager of user funds.

4. No Guarantees & No Responsibilities Toward Partners

The Partner acknowledges and agrees that:

• Mintly does not guarantee any specific reward amount, frequency, or availability;

• minting activity from Partner referrals may vary or not occur at all;

• Mintly is not responsible for Users’ behavior, decisions, wallet issues, regulatory risks, or token outcomes;

• Mintly does not promise profit, income, or financial return;

• the Partner participates voluntarily and assumes all associated risks.

Mintly shall not be liable for any losses, expectations, damages, or missed benefits resulting from the Partner Program.

5. Right to Modify or Terminate the Program

Mintly reserves the unilateral right, at any time and without prior notice, to:

• modify the reward structure,

• change qualification requirements,

• alter payout rules,

• suspend the Program,

• terminate the Program permanently.

Changes become effective immediately upon publication or internal activation and do not require advance communication to Partners.

6. Right to Restrict or Remove Partners

Mintly reserves the absolute right to:

• exclude any Partner from the Program,

• restrict access to referral rewards,

• block payouts,

• deactivate referral links,

• or apply any combination of the above measures,

with or without explanation and at Mintly’s sole discretion.

Reasons may include, but are not limited to:

• misuse, abuse, or suspicious activity,

• fraud or attempted fraud,

• violation of these Partner Terms or Mintly’s Terms of Use,

• promotion using prohibited or harmful methods,

• inappropriate or misleading marketing,

• breach of applicable laws or regulations.

Mintly’s decisions regarding partner eligibility and payouts are final and non-negotiable.

7. Reward Distribution

• Rewards are calculated and distributed according to the current reward rules.

• Mintly may adjust distribution methods, timing, and form of payment.

• Mintly is not responsible for network fees, wallet issues, or failed payouts caused by incorrect or inaccessible partner wallet addresses.

Rewards may be delayed due to blockchain congestion, technical issues, maintenance, or internal review.

8. No Partnership or Employment Relationship

Participation in the Partner Program does not establish any:

• partnership,

• agency,

• employment,

• contractor relationship,

• joint venture,

• fiduciary obligation.

The Partner is an independent participant with no authority to represent Mintly in any capacity.

9. Privacy and Data Use

Mintly may store minimal technical data related to Partner activity (such as wallet address, timestamps, and referral events) for operational and security purposes.

No personal data, private keys, or sensitive information is collected.

Mintly may restrict or suspend referral activity to prevent abuse or fraud.

10. Relationship to the Terms of Use

These Partner Terms expand upon the Mintly Terms of Use.

In case of conflict, the Terms of Use supersede and control.

By participating in the Partner Program, the Partner confirms acceptance of:

• the Terms of Use,

• the Disclaimer & Privacy Policy,

• and these Partner Program Terms.

11. Acceptance

By generating or sharing a partner link, or by receiving referral rewards, the Partner confirms that they have read, understood, and agreed to all provisions in these Partner Program Terms.
